From Monday 2 November 2026, Jade Harbour Nominees Ltd, a wholly owned Hong Kong subsidiary of Jade Harbour Asset Management Ltd (Type 9, free of any no-client-assets condition), starts holding the manager's clients' listed shares in Hong Kong. Which notification requirement applies?
A company in a controlling entity relationship with an intermediary that receives or holds the intermediary's client assets in Hong Kong is its associated entity (SFO Sch. 1). Under s.165(1) the associated entity itself must notify the SFC in writing within 7 business days after becoming one. The manager must also notify, within 7 business days, changes in the particulars of any corporation that becomes its associated entity (Licensing Information Rules s.4(2), Sch. 3 Pt 1 item 3). The subsidiary's lack of a licence does not remove its own duty. Neither notice is required in advance, and one business day is the deadline for reporting non-compliance, not this event. Source: SFO (Cap. 571) s.165(1), Sch. 1 Pt 1 ('associated entity'); Securities and Futures (Licensing and Registration) (Information) Rules (Cap. 571S) s.4(2), Sch. 3 Pt 1 item 3 (as at October 2026).
Thinking only the licensed firm has a duty. An associated entity is unlicensed but must make its own notification under s.165.
