LE Paper 6 · Topic 1
Topic 1 is the widest chapter of Paper 6 and supplies a large share of its questions. It asks you to place a fund, a firm or a person correctly in Hong Kong's framework: is the arrangement a CIS, is the instrument a security or a futures contract, does the offer need SFC authorisation, which regulator acts, and which licence the work needs. It then tests the conduct rules every asset manager lives by: the Code of Conduct, Type 13 duties, OTC derivatives conduct, the Internal Control Guidelines, personal data, AML/CFT, discipline and fines, corporate governance, and the MPFA and IA conduct regimes. Paper 1 covers much of the same law in general terms; Paper 6 asks it from the fund manager's, the trustee's and the fund's side.

Asset management in Hong Kong is built around the collective investment scheme (CIS). Publicly offered CISs include unit trusts constituted by a trust deed, mutual fund corporations, open-ended fund companies (OFCs), REITs, investment-linked assurance schemes (ILAS) and MPF products. Private funds and discretionary accounts serve professional investors and individual clients.
| Role | Who | Source |
|---|---|---|
| Product Provider | Management company of a unit trust or mutual fund and the fund itself (and a mutual fund corporation's board); ILAS insurer; issuer of a structured investment product | SFC Handbook, Overarching Principles para 1.7(j) |
| Service providers | Trustees and custodians, administrators, valuation agents, index sponsors, calculating agents, credit rating agencies | Overarching Principles para 1.7(k) |
| Fund Manager | SFC licensee or registered institution managing CISs (authorised or not) or discretionary accounts; a delegate manager's 'client' is the delegating manager | FMCC (October 2024), Introduction |
| Depositary (Type 13) | Top-level trustee of a trust-form fund, or custodian of a corporate fund, providing custody and oversight | SFO Sch. 5 Pt 2 |
In an MPF scheme the approved trustee collects contributions and subscribes for fund units in line with members' choices; investment managers invest; custodians, delegated by the trustee and independent of the investment managers, keep the assets (MPFA). Staff who only do fund administration or transfer agency work generally need no Type 13 licence; staff with oversight duties, or who approve custody instructions such as payments and asset transfers, do (SFC licensing guidance).

Investors split into the public and professional investors. Some are professional investors by status under Sch. 1 Pt 1 of the SFO: intermediaries, banks, insurers, SFC-authorised CISs and the persons operating them (para (e)), MPF and ORSO registered schemes, governments and central banks. Others qualify only by passing a test in the Professional Investor Rules (Cap. 571D): an individual with a portfolio of HK$8 million or more (s.5); a corporation with a portfolio of HK$8 million or total assets of HK$40 million (s.6(a)); an investment holding company wholly owned by such persons (s.6(b)).
Trap: calling the trustee the product provider. The Handbook makes the manager the Product Provider; trustees and custodians are service providers.
Takeaway: Manager = Product Provider; trustee or custodian = depositary and service provider. Authorised funds and their operators are professional investors by status.
A CIS (SFO Sch. 1 Pt 1) is an arrangement in respect of any property, including land and goods, where (i) participants have no day-to-day control over the management of the property, even if they may be consulted or give directions; (ii) the property is managed as a whole by or for the operator, or contributions and profits are pooled, or both; and (iii) the purpose is for participants to share in profits or returns from the property. Management as a whole is enough without pooling.
| Type 9 limb (Sch. 5 Pt 2) | Meaning | Excluded |
|---|---|---|
| Securities or futures contracts management | Managing a portfolio of securities or futures contracts for another person | (a) service solely for wholly owned group companies; (b)-(d) Type 1 or 2 licensees, registered institutions and their relevant individuals, wholly incidental to dealing; (e)-(g) solicitors, counsel and CPAs, wholly incidental; (h) Trustee Ordinance Part 8 trust companies, wholly incidental to trustee duties |
| Real estate investment scheme management | Operating a CIS whose property is primarily immovable property and which is authorised under s.104 (an SFC-authorised REIT) | An unauthorised property fund is outside this limb |
Trap: treating pooling as essential to a CIS, or a professional-investor-only fund as outside the definition. Restricting an offer to professional investors affects only the s.103 offence.
Takeaway: No control, managed as a whole or pooled, profit purpose: a CIS. Type 9 is REIT management plus securities or futures contracts management.
